General Counsel - Berlin (m/f/d)

Deep Blue Recruitment is hiring a General Counsel (GC) on behalf of a high-growth global SaaS company. This is a unique opportunity to join the leadership team and head up a mid-sized, international legal function.

With the company aiming to go public in 3-4 years, the GC will play a critical role in shaping legal strategy, corporate governance, compliance, and commercial deal-making.

This role is ideal for a strategic, hands-on legal leader with a pragmatic approach, a strong background in corporate and regulatory matters, and experience supporting high-growth tech businesses.

Tasks

  • Act as a strategic partner to the CEO, CFO, and Supervisory Board, advising on corporate governance, M&A, fundraising, secondary transactions, and IPO readiness.

  • Oversee and scale legal operations, leveraging legal tech and AI to drive efficiency in a fast-paced SaaS environment.

  • Develop and streamline legal frameworks to reduce contract cycle times and enhance deal velocity.

  • Lead negotiations on high-value commercial agreements with enterprise customers.

  • Engage with regulators on privacy, security, and data localization requirements, influencing internal and external policies.

  • Optimise the company’s international corporate structure, including entity formation, IP management, inter-company licensing, and transfer pricing.

  • Build and lead a high-performing legal team, fostering a culture of collaboration, agility, and business enablement. Manage legal budgets and resource allocation to support business growth.

Requirements

  • Extensive experience advising high-growth tech companies, particularly from Series C to IPO.

  • Strong background in corporate law, governance, and regulatory compliance across common law and civil law jurisdictions.

  • Proven track record in negotiating complex technology and commercial deals.

  • Experience working with European and U.S. regulators on privacy, security, and compliance matters.

  • Familiarity with managing a Societas Europaea (SE) structure is a plus.

  • Knowledge of German corporate and employment law is beneficial but not essential.

  • Broad legal expertise spanning commercial, IP, employment, and data protection laws.

  • Strong leadership and stakeholder management skills, with a pragmatic and solutions-focused mindset.

  • Experience with Employee and Executive Equity Programmes is an advantage.

  • Exposure to IPO processes or experience as GC in a publicly listed company is a plus but not mandatory.
