Legal Counsel - Venture Capital (m/f/d) Berlin
Our client, a leading VC is seeking a talented and commercially-minded Legal Counsel to join their legal team in Berlin.
In this role, you will work closely with both their investment advisory team and portfolio companies, providing legal support and guidance to ensure smooth, timely transactions and effective risk management.
Tasks
Act as the link between the fund's advisory team and portfolio companies, ensuring transactions move forward efficiently while managing legal risks.
Review and negotiate investment documentation, working with external counsel when needed.
Oversee due diligence, interpreting reports and legal advice from external counsel, and applying them to the commercial context.
Clearly explain legal risks and considerations to the investment advisory team.
Handle various legal and administrative tasks, including engagement letters and investment-related matters.
Advise portfolio companies on day-to-day and ad hoc legal matters, including stock option programs, corporate housekeeping, IP, and more.
Support the General Counsel across various in-house legal areas, such as employment, insurance, IP, and data protection.
Requirements
3-5 years of legal experience in transactions and corporate law.
Experience from working across multiple jurisdictions in Venture Capital and/or Private Equity practice.
Excellent verbal and written communication skills in English and German
The ability to work independently and take ownership of assigned tasks, managing priorities and meeting deadlines with minimal supervision.
You bring a commercially-minded approach to legal advice, balancing legal risks with business objectives to support the fund's growth and success of portfolio companies.
